Terms of Service

1. Acceptance of Terms

By accessing or using MeetGrade (the "Service"), available at app.meetgrade.com, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, please do not use the Service.

2. Description of Service

MeetGrade is a quality assurance platform for sales teams, operated by ФОП Дудченко Олексій Васильович (Oleksii Dudchenko, sole proprietor). It provides:

• Automated AI-powered analysis of sales calls (Zoom, Google Meet and phone)
• Quality metrics, scores, and feedback for sales managers
• Team leaderboards and gamification (achievements system)
• Knowledge base for sales methodology

3. Eligibility and Account

The Service is intended for:

• Authorized users of organizations that subscribe to the Service (sales managers, team leads, administrators)
• Authorized contractors and consultants

To use the Service, you must:

• Be at least 18 years old
• Have authorization from your organization's administrator
• Provide accurate registration information
• Keep your login credentials confidential

4. User Conduct

You agree NOT to:

• Share your login credentials with third parties
• Use the Service for unauthorized purposes
• Attempt to access other users' data without permission
• Upload illegal, harmful, or copyrighted content without rights
• Reverse-engineer, decompile, or scrape the Service
• Use the Service to harass or harm others

5. Zoom Integration

By connecting your Zoom account, you grant MeetGrade permission to:

• Read your basic profile information (email, name, Zoom user ID)
• Read metadata of meetings you host (topic, duration, start time)
• Generate a per-meeting On-Behalf-Of (OBF) token used by our own recording bot ("MeetGrade Recorder") to join meetings you host and record them for quality analysis

You can disconnect at any time using either My Profile → 🔗 My Zoom → 🔌 Disconnect inside MeetGrade, or via Zoom Marketplace → Manage → Added Apps → Remove. See our Privacy Policy for details.

5a. Sub-processors

To provide the Service, ФОП Дудченко Олексій Васильович (Oleksii Dudchenko, sole proprietor) uses the following sub-processors under GDPR-compliant Data Processing Agreements:

• Anthropic, Inc. — AI call analysis
• Deepgram, Inc. — primary audio transcription
• Groq, Inc. — fallback audio transcription
• Hetzner Online GmbH — hosting our recording bot (EU)
• Cloudflare, Inc. — Cloudflare R2 object storage for meeting recordings (EU jurisdiction, encrypted at rest)
• Railway Corp. — hosting application infrastructure (EU)

We will provide reasonable notice of any changes to this list of sub-processors.

6. Intellectual Property

All content, design, and code of the Service are owned by ФОП Дудченко Олексій Васильович (Oleksii Dudchenko, sole proprietor). The quality criteria, methodology (SEVEN_T), and knowledge base are proprietary.

You retain ownership of your call recordings and transcripts. By using the Service, you grant us a limited license to analyze and store them per the Privacy Policy.

7. AI-Powered Analysis Disclaimer

The Service uses AI (Anthropic Claude) to evaluate call quality. AI analysis is provided "as is" and may contain errors or biases. Quality scores are advisory only and should be reviewed by human supervisors before being used for performance evaluation, compensation decisions, or disciplinary actions.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance
• Hosting provider issues (Railway)
• Third-party AI service outages (Anthropic, Groq)
• Force majeure events

9. Limitation of Liability

To the maximum extent permitted by law, ФОП Дудченко Олексій Васильович (Oleksii Dudchenko, sole proprietor) and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

10. Termination

We reserve the right to suspend or terminate access for users who violate these Terms. You may terminate your account at any time by contacting hello@meetgrade.com.

11. Changes to Terms

We may update these Terms periodically. Material changes will be communicated via email or in-app notifications.

12. Governing Law

These Terms are governed by the laws of Ukraine. Any disputes shall be resolved in the courts of Ukraine.

Умови використання

1. Прийняття умов

Користуючись сервісом MeetGrade (далі — "Сервіс") за адресою app.meetgrade.com, ви погоджуєтесь з цими Умовами використання.

2. Опис Сервісу

MeetGrade — це платформа контролю якості дзвінків для sales-команд (оператор — ФОП Дудченко Олексій Васильович (Oleksii Dudchenko, sole proprietor)), яка забезпечує:

• AI-аналіз дзвінків продажу (Zoom, Google Meet і телефон)
• Метрики якості та зворотний звʼязок для менеджерів
• Командні лідерборди та систему досягнень
• Базу знань методики продажу

3. Хто може користуватись

• Авторизовані користувачі організацій, що підключили Сервіс (менеджери продажу, тімліди, адміністрація)
• Авторизовані підрядники та консультанти

4. Правила користування

Заборонено:

• Передавати облікові дані третім особам
• Використовувати Сервіс для неавторизованих цілей
• Намагатись отримати доступ до даних інших користувачів
• Завантажувати незаконний або шкідливий контент
• Реверс-інжиніринг сервісу

5. Інтеграція з Zoom

Підключаючи Zoom-акаунт, ви дозволяєте нам:

• Читати ваш базовий профіль (email, ім'я, Zoom user ID)
• Читати метадані зустрічей, які ви проводите (тема, тривалість, час)
• Генерувати per-meeting OBF-токен (on-behalf-of), яким наш власний бот ("MeetGrade Recorder") заходить у ваші зустрічі і записує їх для аналізу якості

Відключити можна у будь-який момент: у MeetGrade через Мій профіль → 🔗 Мій Zoom → 🔌 Відключити, або через Zoom Marketplace → Manage → Added Apps → Remove.

5a. Sub-processor'и

Для роботи Сервісу ФОП Дудченко Олексій Васильович (Oleksii Dudchenko, sole proprietor) використовує таких sub-processor'ів за GDPR-сумісними DPA:

• Anthropic, Inc. — AI аналіз
• Deepgram, Inc. — основна транскрипція
• Groq, Inc. — резервна транскрипція
• Hetzner Online GmbH — хостинг бота-рекордера (EU)
• Cloudflare, Inc. — обʼєктне сховище Cloudflare R2 для записів (EU jurisdiction, зашифровано at rest)
• Railway Corp. — хостинг застосунку (EU)

6. Інтелектуальна власність

Весь контент і код Сервісу належать ФОП Дудченко Олексій Васильович (Oleksii Dudchenko, sole proprietor). Критерії якості, методика SEVEN_T та база знань є комерційною таємницею.

7. Застереження щодо AI

Сервіс використовує AI для оцінки якості дзвінків. AI-аналіз надається "як є" і може містити помилки або упередження. Оцінки якості мають рекомендаційний характер і повинні переглядатись керівниками перед використанням для оцінки роботи або дисциплінарних дій.

8. Доступність

Ми прагнемо високої доступності, але не гарантуємо безперебійного доступу через обслуговування, проблеми провайдерів (Railway), збої сторонніх AI-сервісів або форс-мажор.

9. Обмеження відповідальності

ФОП Дудченко Олексій Васильович (Oleksii Dudchenko, sole proprietor) не несе відповідальності за непрямі, випадкові чи штрафні збитки від використання Сервісу.

10. Припинення

Ми можемо припинити доступ для користувачів, які порушують Умови. Ви можете припинити обліковий запис, написавши на hello@meetgrade.com.
